This one-day workshop offers an introduction for company secretaries and other professionals who need to engage and comply with the Listing Requirements for a wide range of public listed company transactions – from implementation of proposals to meeting continuing listing obligations, directors’ dealings and acquisitions and disposals. The workshop also examines the legal context within which those transactions are undertaken, with reference to the Listing Requirements, the revised corporate governance regime and other relevant law and regulation.

Key topics covered:

• Principles of the Listing Requirements and the criteria for continued listing and obligations
• Requirements for new issue of securities and implementation of proposals including restriction of allotment to directors, Employee Share Option Scheme
• Dealing in securities by directors.
• Discuss the obligations of the listed company in the acquisition and disposal of assets and transactions with related parties.
• Rights provided in the Listing Requirements to Directors as well as the role expected of Executive and Independent Directors.
